CLIENT ACKNOWLEDGES THAT IT HAS READ AND AGREES TO THE TERMS AND CONDITIONS SET FORTH BELOW AND THAT ACTIVATION OF CLIENT ACCOUNT IS SUBJECT TO PROVIDER’S RECEIPT OF INITIAL PREPAYMENT.

The client Acknowledges that these terms and conditions may vary from time to time. Notification will be provided in this case unless variations were made due to a change in law or regulation. Payment towards the provider will mark the start of the service contract between the Provider and the Client.
Rates and prices are listed on the panel that the client receives during the test period. Prices offered are subject of changing in any time.
Emergency calls are NOT supported on your VoIP service. You acknowledge and understand that the VoIP service does not support Emergency calls. In an Emergency use a standard phone service or a mobile phone to make the call.

 

  1. Service Outages
    a. You acknowledge that although we will take all reasonable steps to make sure you receive the voice and other services; these services are not free from faults or interruptions. Certain factors, such as network congestion, maintenance, technical capabilities, geographic factors, obstructions, or interference may mean you will not receive the voice or other services at certain times
    b. Broadband Service / ISP Outage or Termination / Suspension by the Provider. You acknowledge and understand that service outages or suspension or termination of service by your broadband connection and/or ISP or by the Provider will prevent ALL Service including attempts to call.
    c. You acknowledge and understand that if there is a service outage for ANY reason, such outage will prevent ALL Service. You should use a standard phone service or a mobile phone to call. Such outages may occur for a variety of reasons, including, but not limited to those reasons described elsewhere in this Agreement.

 

  • Laws

When using this service, you will ensure that you and others always comply with all laws and obligations, regulations, codes or determinations or any other requirements of any government or statutory authority, including licence conditions, applicable to the services and their use. Failure to comply with any licence, permit or authorisation relating to the connection of equipment to the Service Delivery Point or use of the services may result in immediate termination of the agreement. In addition, you must not transmit, distribute, or otherwise publish on the Service any libellous, defamatory, fraudulent, abusive material or material that could give rise to civil or criminal proceedings. If this occurs, the Provider or its officers, directors, employees, agents, shareholders, licensees, suppliers, business partners and any third party will not be held liable for any charges incurred by these proceedings.

 

  • Copyright

You may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of the Service. Without limiting the generality of the foregoing, the Provider services may not be resold or otherwise resupplied by any account holder to any other person or entity without the Provider prior written consent.

 

  • Fees and charges
    All payments shall be prepaid and shall be made via wire transfer details are on section 11. Any fees or charges associated shall be paid by the client. Client agrees to be responsible for payment of all applicable charges incurred because of use of the Services, including, but not limited to, the use or misuse of the Services by an unauthorized third party, or any error, accidental use, or loss. The Provider will create an account dedicated to the client, this account will provide the client with the information on balance, service expenses, transfers, and other important information regarding charges for Voip and other services.

 

  • Term

This Agreement shall be one (1) year from the effective date (“Term”), unless terminated earlier. This Agreement shall automatically renew for consecutive one (1) year terms effective on the anniversary date of the effective date, unless either party provides at least thirty (30) days’ prior written notice of its intent not to renew. Should your details change at any time, you must notify us immediately.

 

  • Expiration Terms
    Provider reserves the right to charge a monthly account maintenance fee for each month that an account is inactive (i.e., no transactions) for a period of ninety (90) days or more. If an account has been inactive for a period of 180 days, Provider reserves the right to terminate the account upon notice to the client and the client forfeits all funds remaining in such account which shall become the property of Provider.
  • VoIP Services

The Provider will allow clients to connect to the service using their own device. The Provider only charges for answered calls and ceases to charge when the call is terminated by the caller. These charges will be deducted directly on the Client account balance. Voip charges are usually billed per second “1/1” except some specific destinations (prefixes).

 

  • Virtual Numbers (DID)
    Any telephone number or Direct Inward Dialling (“DID”) provided to any Client is being leased and not sold. Client shall not obtain any rights, title, or interest in the Number. The Number is to be used only with services provided by Provider and Provider reserves the right to change, cancel or move the Number at Provider’s sole discretion. Apart the monthly costs DID have implementation costs or a one-time activation fee. These charges will be deducted directly from the Client account balance. In case of a low balance or if the account is out of balance the DID will immediately cease to function and will be cancelled within 7 days. The Provider may not be able to provide the same DID after that period.
  • Security

Upon opening the client panel, you will receive a user account and password. The Client should keep confidential all passwords the Client is given in connection with the service. The Client acknowledges that the Provider will disclose any information in connection with the Client’s accounts to any person who correctly quotes the Clients account number and password.

Breach
If, in the Provider opinion, you breach any of terms and conditions of this Agreement, we may suspend, limit your access to the Service or terminate this Agreement effective immediately. The termination of the Service shall not preclude the Provider from exercising any other rights that we may have against you under this Agreement.
